This Risk Disclosure Statement (this “Statement”) applies to the Services provided by FGTHEDGE LIMITED (the “Company,” “we,” “us,” or “our”) and shall be deemed to form part of the Terms of Use between the User and the Company (the “Terms of Use”).

FGTHEDGE LIMITED is authorized by Fortgate Offshore Investment and Legal Services Ltd of Saint Lucia (License No. 2026-0012). The registered office is Fortgate Offshore Investment and Legal Services Ltd., Ground Floor, The Sotheby Building, Rodney Village, Rodney Bay, Gros-Islet, Saint Lucia.

All capitalized terms used but not otherwise defined in this Statement shall have the meanings assigned to them in the Terms of Use.

By accessing or using the Platform, the Site, or any Services made available by the Company, you represent and warrant that you understand and accept the risks associated with trading and investing in financial instruments, including but not limited to Contracts for Difference (CFDs), foreign exchange (Forex), leveraged products, derivatives, and where applicable, Digital Assets.

You acknowledge and agree that:

  1. you are solely responsible for evaluating the nature, merits, and risks of any transaction you enter into;
     
  2. the Company does not provide investment, legal, tax, or financial advice, nor does it make personal recommendations;
     
  3. any decision to access or use the Platform and the Services is made by you entirely at your own risk; and
     
  4. this Statement does not disclose or explain all of the risks associated with the Services, and you should carefully consider whether trading is suitable for you in light of your experience, objectives, financial resources, and risk tolerance.
     

You should be aware that you may sustain a partial or total loss of the funds or assets in your Account, and under certain market conditions, it may be difficult or impossible to liquidate a position.


1. General Trading Risk

Trading in CFDs, Forex, derivatives, leveraged products, commodities, indices, and other financial instruments involves a high degree of risk and may not be suitable for all investors.

The price and value of any financial instrument may fluctuate rapidly and unpredictably. Markets may move against your interests, and you may incur significant losses in a short period of time. In some circumstances, a product may become illiquid or effectively valueless.

You understand that losses may arise as a result of:

  1. adverse market movements;
     
  2. volatility in underlying assets or reference instruments;
     
  3. leverage and margin effects;
     
  4. reduced liquidity or market disruptions;
     
  5. delayed, failed, partial, or rejected executions; and
     
  6. pricing differences between the Platform and other markets or providers.
     

Past performance is not indicative of future results. No representation or guarantee is made that any account will achieve profits or avoid losses.


2. Risks Relating to CFDs, Forex, Derivatives, and Leverage

CFDs, Forex, and other derivative products are leveraged instruments. This means that a relatively small movement in the price of the underlying asset may result in a disproportionately large movement in the value of your position, whether favorable or unfavorable.

As a result:

  1. leverage magnifies both gains and losses;
     
  2. even a small adverse market move may lead to substantial losses;
     
  3. you may lose all or a significant portion of your invested capital;
     
  4. margin close-out, automatic liquidation, stop-out, or forced position reductions may occur without prior notice; and
     
  5. you may be required to maintain margin levels at all times, regardless of whether you have received any warning, alert, or margin call.
     

You acknowledge that the Company is entitled, but not obliged, to issue margin calls or other notifications. The Company may liquidate, close, reduce, offset, or otherwise manage positions in your Account in order to satisfy margin requirements or mitigate risk, without prior notice to you and without giving you the opportunity to select which positions are to be closed.

Market gaps, slippage, rapid volatility, illiquidity, and delayed execution may cause liquidation to occur at prices substantially worse than expected, and losses may exceed the amount you initially deposited, subject to applicable law and any protections expressly offered by the Company.


3. Risks Relating to Orders and Execution

Orders placed through the Platform may not always be executed immediately, at the requested price, or at all.

You acknowledge that:

  1. market conditions may prevent execution, cancellation, or amendment of an order;
     
  2. requotes, slippage, rejected orders, execution delays, partial fills, and off-market movements may occur;
     
  3. stop-loss orders, limit orders, or similar risk-management tools may not always function as expected in fast-moving or illiquid markets;
     
  4. technical failures, outages, connectivity interruptions, or latency may affect order handling; and
     
  5. the Company may rely on internal pricing, liquidity sources, execution venues, or third-party providers in executing and processing transactions.
     

Accordingly, trading outcomes may differ materially from your expectations or instructions.


4. Risks Relating to Digital Assets

Where the Company makes available any Services involving Digital Assets, additional risks apply.

The price and value of Digital Assets may fluctuate dramatically and may fall to zero. An investment in Digital Assets may experience sudden and severe downward price movements. You may incur losses rather than profits as a result of buying, selling, holding, or transferring Digital Assets.

You understand and acknowledge that:

  1. Digital Assets are generally not legal tender and are not backed by any government, central bank, or physical commodity;
     
  2. there is no assurance that any Digital Asset will retain its value or continue to be accepted in the marketplace;
     
  3. transactions involving Digital Assets may be irreversible, and losses arising from fraud, error, theft, or accidental transfer may not be recoverable;
     
  4. the value of a Digital Asset may depend entirely on market demand and participant confidence;
     
  5. technological vulnerabilities, protocol changes, forks, attacks, bugs, or network failures may adversely affect Digital Assets;
     
  6. cyberattacks, hacking, phishing, malware, unauthorized access, or security breaches may result in total or partial loss of Digital Assets;
     
  7. the anonymity or pseudonymity of blockchain systems may increase fraud, abuse, or enforcement risks; and
     
  8. regulatory restrictions, bans, enforcement actions, or changes in law may materially affect the use, transfer, exchange, custody, or value of Digital Assets.
     

You further acknowledge that Digital Assets held or reflected in your Account:

  1. are not bank deposits;
     
  2. are not protected by deposit insurance;
     
  3. may not be protected by any investor compensation scheme; and
     
  4. may be subject to additional operational, custodial, settlement, and legal risks.
     

5. Risks Relating to Margin, Financing, and Borrowing

If your Account involves margin trading, financing arrangements, or borrowing of securities, Digital Assets, or other instruments, the risk of loss may be substantial.

You may be required to provide collateral and maintain minimum margin levels at all times. If the value of your collateral falls, or if market conditions change, you may be required to provide additional funds or assets on short notice.

If you fail to do so within the required timeframe, the Company may, without prior notice:

  1. liquidate your positions;
     
  2. realize or enforce collateral;
     
  3. close out exposures;
     
  4. repurchase borrowed instruments; or
     
  5. take any other action reasonably required to manage risk.
     

You may sustain losses in excess of the assets or funds initially deposited as collateral, subject to applicable law and any protections expressly provided by the Company.

Where you lend securities or Digital Assets to the Company, you may temporarily lose legal ownership rights and instead hold only a contractual right to receive equivalent assets back, subject to the terms governing such arrangement.


6. Market, Liquidity, and Volatility Risk

Financial markets may be highly volatile and may become illiquid without warning. Prices may gap, spreads may widen, and execution quality may deteriorate during periods of stress, limited liquidity, or extraordinary market activity.

Such events may occur due to:

  1. economic announcements or macroeconomic shocks;
     
  2. political events or geopolitical tensions;
     
  3. regulatory or legal changes;
     
  4. exchange disruptions or trading halts;
     
  5. unexpected corporate, market, or protocol developments; or
     
  6. loss of market confidence.
     

During volatile conditions, you may be unable to open, close, or hedge a position at a favorable price or at all.


7. Technology and Platform Risk

The Company’s Services and trading facilities rely on software, hardware, internet connectivity, communication systems, pricing feeds, data providers, liquidity arrangements, and other technological infrastructure.

As with any online or electronic platform, failures or disruptions may occur, including:

  1. hardware or software malfunction;
     
  2. internet outages or unstable connectivity;
     
  3. cyber incidents or malicious attacks;
     
  4. data corruption, delays, or inaccuracies;
     
  5. failures of third-party systems or vendors; and
     
  6. interruptions in order-routing, execution, settlement, or reporting.
     

Any such event may result in delayed execution, inability to access the Platform, loss of data, inaccurate balances or positions, failed transactions, or inability to manage your Account in real time.

The internet is not a fully reliable transmission medium, and electronic communications may be subject to delay, interception, distortion, or failure.


8. Legal and Regulatory Risk

Legislative, regulatory, tax, enforcement, or policy changes at the local, national, or international level may materially and adversely affect the Services, the Platform, available products, your Account, or the value and treatment of any instruments traded.

You acknowledge that:

  1. certain products or Services may be restricted or prohibited in some jurisdictions;
     
  2. the Company may suspend, restrict, or terminate access where required by law, regulation, sanctions, licensing restrictions, or internal compliance policy;
     
  3. regulatory changes may affect leverage, margin, execution, product availability, or account functionality; and
     
  4. legal uncertainty may affect the enforceability, transferability, or value of certain transactions or assets.
     

The information on the Site is not directed to residents of jurisdictions where distribution or use would be contrary to local law or regulation.


9. Counterparty and Third-Party Risk

The Company may rely on third-party providers, including liquidity providers, payment processors, custodians, banks, technology vendors, data suppliers, compliance vendors, and other service providers.

You understand that the acts, omissions, insolvency, disruption, suspension, or failure of any such third party may adversely affect your Account, your transactions, execution quality, settlement, custody arrangements, withdrawals, or access to the Services.

The Company is not responsible for independent acts or failures of third-party providers except to the extent required by applicable law.


10. Tax Risk

You are solely responsible for determining what taxes may apply to your use of the Services, including any trading profits, losses, conversions, transfers, withdrawals, holdings, or income generated through your Account.

You should note that:

  1. proceeds from trading or disposing of financial instruments or Digital Assets may be subject to tax, duties, levies, withholding, or reporting obligations;
     
  2. tax law and practice may be unclear, uncertain, or subject to change, including with retrospective effect; and
     
  3. the Company does not provide tax advice and is not responsible for your individual tax treatment.
     

You should consult an independent tax adviser if you are uncertain about your obligations.


11. No Advice and Suitability

The Company does not provide investment advice, fiduciary services, portfolio management, legal advice, or tax advice. Any information, research, analysis, commentary, educational material, trading tools, signals, or market data provided through the Platform or Site is for general informational purposes only and should not be relied upon as a personal recommendation.

You are solely responsible for assessing whether any transaction or strategy is suitable for you in light of your investment objectives, experience, financial circumstances, and risk appetite.


12. No Guarantee; Possibility of Total Loss

There is no guarantee that you will make profits or avoid losses. Trading through the Platform may result in the loss of all or substantially all of your funds or assets.

By using the Services, you acknowledge and accept that:

  1. you may sustain a total loss of the funds or assets in your Account;
     
  2. under certain market conditions, it may be difficult or impossible to liquidate a position;
     
  3. risk-management tools may not always operate effectively;
     
  4. extraordinary events may cause severe losses in a very short period of time; and
     
  5. you should not trade or invest funds that you cannot afford to lose.
     

13. Acknowledgment

By accessing or using the Platform, the Site, or the Services, you confirm that:

  1. you have read and understood this Risk Disclosure Statement;
     
  2. you understand the significant risks associated with trading and investing through the Company;
     
  3. you accept those risks voluntarily and in full; and
     
  4. you remain solely responsible for all trading and investment decisions made through your Account.
